Analog Devices to Acquire Alif Semiconductor to Advance Physical Intelligence

Analog Devices (ADI) and Alif Semiconductor have entered into a definitive agreement under which ADI will acquire Alif in an all-cash transaction valued at $1.35 billion. The deal is intended to accelerate ADI's push into what it calls "Physical Intelligence," enabling systems to sense, reason, and act locally in real time within the constraints of the physical world, meaning limits around power consumption, latency, security, and reliability.

The acquisition reflects a broader shift happening in AI, as models move beyond interpreting text and images toward understanding physical context and interacting directly with the real world. This shift requires systems capable of reasoning from physical signals like motion, sound, vibration, radio waves, and heat, and doing so locally rather than relying on a remote data center, while operating within tight power, timing, security, and reliability requirements.

Alif specializes in edge intelligence, offering a platform of highly efficient AI-native microcontrollers and fusion processors. Its heterogeneous architecture, meaning it combines different types of processing units suited to different tasks, enables real-time sensor fusion, low-latency AI inference, and on-device AI processing, bringing advanced intelligence directly into demanding physical systems.

By combining ADI's existing strengths in sensing, signal processing, power management, connectivity, and application software with Alif's advanced digital processing platform, ADI expects to accelerate delivery of more complete Physical Intelligence solutions, letting the combined company address a broader range of customers' complex system-level challenges across industrial, data center infrastructure, defense, energy, robotics, digital health, and wearable applications.

Vincent Roche, CEO and chair of ADI, said AI is moving out of the data center and into the physical world, where latency, power, and trust can't be compromised, an area he described as ADI's domain of expertise for decades, specifically at the interface where real-world physical signals become usable intelligence. He said combining Alif's digital processing capabilities with ADI's strengths in multi-modal sensing, signal processing, power, connectivity, and software will let customers build entirely new classes of secure, intelligent systems that sense, reason, and act locally in real time, describing this as the next frontier of AI: embodied and deterministic, or Physical Intelligence in action.

Reza Kazerounian, co-founder and president of Alif, said the company was founded to reimagine what a microcontroller could be in the AI era, engineering a heterogeneous architecture from the outset that integrates dedicated low-power neural processing with connectivity, security, and intelligent power management, delivering computing resources precisely where they're needed. He said combining that with ADI's deep expertise in physical-domain technology and broad analog system capabilities will let the combined company expand its reach and deliver solutions to power the future of Physical Intelligence.

Alif's chips are already shipping in production, with design wins across major consumer and industrial customers.

Under the terms of the agreement, which has been approved by both companies' boards of directors, ADI will pay Alif's stockholders $1.35 billion upfront in cash, subject to the terms of the definitive agreement, with the potential for an additional contingent payment of up to $200 million based on future conditions. The transaction is expected to close before the end of calendar year 2026, subject to standard closing conditions and expiration of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act.
