Infineon announced a definitive agreement to acquire Marvell Technology’s Automotive Ethernet business for $2.5 billion in cash. This strategic acquisition will significantly bolster Infineon’s market-leading portfolio of automotive microcontrollers and enhance its system capabilities for software-defined vehicles.
The acquisition combines Infineon’s robust microcontroller offerings with Marvell’s benchmark Automotive Ethernet technology, which is essential for low-latency, high-bandwidth communication in modern vehicles. This integration will enable Infineon to provide comprehensive solutions for software-defined vehicles, addressing the growing demand for ADAS, autonomous driving, and over-the-air software updates.
Jochen Hanebeck, CEO of Infineon, stated, “The acquisition is a great strategic fit for Infineon as the global number one provider of semiconductor solutions to the automotive industry. We will leverage this highly complementary Ethernet technology by combining it with our existing, broad product portfolio to provide our customers with even more comprehensive, leading solutions for software-defined vehicles.”
Marvell’s Automotive Ethernet business is expected to generate revenue of $225 – $250 million in the 2025 calendar year with a gross margin of around 60%. The business has a strong customer base, including more than 50 automotive manufacturers and a design-win pipeline of approximately $4 billion until 2030. Infineon anticipates additional cost synergies from combining R&D efforts and leveraging its production capabilities.
The transaction will be financed through existing liquidity and additional debt, with acquisition financing secured from banks. The deal is subject to customary closing conditions, including regulatory approvals, and is expected to close within the calendar year 2025.
